Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Agenz Technologies ("Agenz", "we", "us", or "our") and govern your access to and use of Yasmine, an AI coworker that lives in your Slack workspace, together with our related sites and services (the "Service"). By creating an account, connecting a workspace, or otherwise using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

Yasmine connects an AI assistant to your Slack workspace and runs on your own Claude subscription with Anthropic. Each customer is provisioned an isolated, encrypted per-tenant environment in which conversation content and connected-tool credentials reside. We provide the platform that provisions, operates, and bills these environments; we do not resell Claude tokens. Details of our data handling are described in our Privacy Policy.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You must provide accurate account information, keep it up to date, and keep your credentials and workspace access secure. Authentication is provided through Slack OAuth (and, where offered, Google/Firebase sign-in). You are responsible for all activity that occurs under your account and workspace, and for your users' compliance with these Terms. Notify us promptly of any unauthorized use at security@yasmine.works.

3. Your responsibilities

You are responsible for:

  • Your Claude subscription. The Service runs on your own Anthropic/Claude subscription. You are responsible for maintaining that subscription in good standing and for compliance with Anthropic's terms and usage policies — including any restrictions on how an individual account or subscription may be used or accessed. Yasmine does not require, encourage, or endorse sharing an individual Claude account across multiple users; how you connect and use your subscription is solely your decision and your responsibility.
  • Connected tools and repositories. You decide which Slack channels, tools, repositories, and premium integrations Yasmine may access, and you are responsible for having the rights and permissions to connect them.
  • Actions you instruct. Yasmine acts on instructions from you and your users. You are responsible for the instructions you give, for reviewing output, and for the consequences of actions taken through the Service.
  • Your content and data. You are responsible for the lawfulness of the content and data you process through the Service and for any required notices or consents from your own users.

4. Acceptable use

Your use of the Service must comply with our Acceptable Use Policy. Among other things, you may not use the Service unlawfully, to infringe others' rights, to compromise security, to abuse or reverse-engineer the Service, or to interfere with its operation. We may suspend accounts that violate the AUP or that create security or legal risk. You may report abuse to abuse@yasmine.works.

5. Fees and billing

Paid plans are billed in advance through our payment processor, Stripe. You authorize us and Stripe to charge your payment method for the fees for your plan and any applicable taxes. Except as required by law or expressly stated in these Terms, fees are non-refundable. You may cancel at any time; cancellation stops future renewals, and access continues to the end of the paid period.

Premium integrations are an optional add-on. Where a premium integration incurs third-party or usage costs, those amounts are billed to you at cost in addition to your plan fees. We may change prices with prior notice; changes take effect at your next renewal. Failure to pay may result in suspension or termination.

6. Premium integrations and third-party services

The Service integrates with third-party platforms and providers, including Anthropic (the Claude model), Slack (workspace integration), and Pipedream (managed OAuth for premium integrations). Premium-integration credentials are established via Pipedream Connect and stay inside your isolated environment. Your use of these platforms is subject to their own terms and privacy policies, and we are not responsible for their availability, acts, or omissions. If a third-party platform changes or discontinues its service, related Service features may change or become unavailable.

7. AI output disclaimer

The Service uses AI that may produce output that is inaccurate, incomplete, or otherwise unsuitable. You are responsible for reviewing and verifying output before relying on or acting on it. AI output does not constitute professional, legal, financial, medical, or other regulated advice, and should not be treated as such. You are solely responsible for decisions made and actions taken based on the Service.

8. Intellectual property

As between you and us, you retain all rights to your content and the data you process through the Service. You grant us only the limited rights needed to operate, secure, and support the Service on your behalf. We and our licensors retain all rights in the Service itself, including its software, interfaces, and trademarks. Slack, Claude, Anthropic, and other product and company names are trademarks of their respective owners; Yasmine is not affiliated with or endorsed by them. You may not use our marks without our prior written permission.

9. Confidentiality

Each party may receive information that is confidential to the other. The receiving party will use the disclosing party's confidential information only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel and providers bound by confidentiality obligations, or as required by law. Our per-tenant isolation model is a core part of how we protect the confidentiality of your conversation content and connected-tool data.

10. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid to us for the Service in the twelve (12) months before the event giving rise to the claim. These limitations do not apply to liability that cannot be excluded under applicable law.

12. Indemnification

You will defend, indemnify, and hold harmless Agenz and its affiliates, officers, and employees from and against any third-party claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your content, your use of the Service, your instructions to Yasmine, your connected tools, or your violation of these Terms or of applicable law.

13. Term, termination, and suspension

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access, in whole or in part, for violation of these Terms or our policies, to protect the Service or other customers, or as required by law. We may also suspend access for non-payment or to address security or legal risk. On termination, your right to use the Service ends and we will deprovision your isolated environment; sections that by their nature should survive (including fees owed, IP, confidentiality, disclaimers, limitation of liability, and indemnification) survive termination.

14. Changes to the Service

We may add, modify, or discontinue features of the Service over time. Where a change materially reduces core functionality of a paid plan, we will use reasonable efforts to provide notice. Some changes may be driven by third-party platforms outside our control.

15. Governing law

These Terms are governed by [Governing law: to be set by counsel], without regard to conflict-of-laws principles.

16. Dispute resolution

The parties will first attempt in good faith to resolve any dispute informally by contacting support@yasmine.works. Any dispute not resolved informally will be handled in the venue and by the method specified under [Governing law: to be set by counsel], including any agreed arbitration and any class-action or jury-trial waiver permitted by law. Nothing in this section prevents either party from seeking injunctive relief to protect its intellectual property or confidential information.

17. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Service after an update takes effect means you accept the revised Terms.

Cookies & similar technologies

We use cookies and similar technologies on our marketing site and sign-in flows, and we keep them to a minimum.

  • Strictly-necessary cookies — required to run the site and sign you in, such as session and security cookies and your theme/language preferences. These are always on because the site does not work properly without them, and they do not require consent.
  • Privacy-friendly analytics — we use cookieless, aggregate analytics where feasible so we can understand site usage without tracking you across sites or building advertising profiles.
  • Non-essential cookies — any non-essential cookies are used only with your consent. You can grant, change, or withdraw consent at any time via Cookie preferences in the footer. Withdrawing consent does not affect processing already carried out.
  • Managing cookies in your browser — you can also block or delete cookies through your browser settings. Blocking strictly-necessary cookies may prevent parts of the site from working.
